Terms & Conditions

1. Applicability

These Terms & Conditions apply to all quotations, proposals, bookings, orders, agreements, invoices and services provided by Nordic Hospitality x Experience and its affiliated companies (“NHE”).

These Terms & Conditions supersede any conflicting terms unless expressly agreed in writing.

2. Quotations and Offers

All quotations, proposals and indicative pricing are non-binding until accepted by NHE in writing.

Unless otherwise stated, quotations are valid for fourteen (14) days from the date of issue.

Prices are based on the information available at the time of quotation and may be adjusted if the scope, guest count, venue, schedule, logistics or client requirements change.

3. Booking Confirmation

A booking becomes confirmed only when:

  • the client has accepted the proposal in writing; and
  • any required reservation fee, deposit or advance payment has been received.

For the purposes of these Terms & Conditions, written acceptance may include email, WhatsApp messages, electronic signatures or any other written electronic communication clearly indicating the client’s intention to proceed with the booking.

NHE reserves the right to refuse or cancel a booking before confirmation.

4. Payment Terms

Payment terms, payment schedules, deposits, reservation fees and invoicing arrangements shall be agreed separately for each booking, project or engagement.

The payment terms specified in the applicable quotation, proposal, booking confirmation, agreement or invoice shall apply to the relevant service.

NHE reserves the right to require advance payments, deposits, reservation fees or staged payments prior to commencement of services.

NHE reserves the right to postpone, suspend or cancel services if agreed payments are not received by the applicable due dates.

NHE reserves the right to charge statutory late-payment interest and reasonable collection costs permitted under applicable law in the event of overdue payments.

5. Cancellation Policy

Unless otherwise agreed in writing:

Private Chef Experiences

Cancellation terms, reservation fees and refund conditions shall be specified in the applicable quotation, booking confirmation or service agreement.

If a competent governmental authority prohibits the event from taking place, NHE will refund payments received to the extent such amounts have not already been committed to non-recoverable third-party costs incurred on behalf of the client.

Corporate Events and Productions

Cancellation fees may apply depending on timing and costs already incurred.

Any third-party costs, venue fees, permits, accommodation, travel costs, purchased materials or subcontractor commitments already incurred remain payable by the client.

6. Client Responsibilities

The client shall:

  • provide accurate information regarding guest numbers, dietary requirements and event requirements;
  • ensure lawful access to the venue;
  • obtain any permissions required for the event unless otherwise agreed;
  • ensure a safe working environment for NHE personnel, suppliers and subcontractors;
  • comply with applicable laws and venue regulations.

NHE may engage subcontractors, suppliers and third-party service providers in the planning and delivery of services. NHE shall remain responsible for the overall coordination of the services provided to the client.

7. Changes to Scope

Any changes requested after confirmation may result in additional charges.

NHE will make reasonable efforts to accommodate changes but cannot guarantee availability.

Any additional work, materials, staffing, logistics or production requirements requested after confirmation may be invoiced separately.

8. Force Majeure

NHE shall not be liable for failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to:

  • war, armed conflict or military action;
  • terrorism or security threats;
  • government restrictions or regulatory actions;
  • civil unrest or public disorder;
  • natural disasters;
  • epidemics or pandemics;
  • transportation disruptions;
  • supplier failures;
  • utility or infrastructure outages;
  • any other event beyond the reasonable control of the affected party.

Where possible, the Parties shall cooperate in good faith to reschedule, modify or otherwise mitigate the impact of the force majeure event.

9. Liability

NHE shall be liable only for direct damages caused by gross negligence or wilful misconduct.

NHE shall not be liable for:

  • indirect damages;
  • consequential damages;
  • loss of profit;
  • loss of business opportunity;
  • reputational damage;
  • business interruption;
  • loss of data.

NHE’s total liability shall in all circumstances be limited to the amount paid by the client for the relevant service.

10. Intellectual Property

All concepts, menus, proposals, event designs, visual materials, presentations, production concepts, planning materials and other intellectual property created by NHE remain the property of NHE unless otherwise agreed in writing.

No intellectual property rights are transferred to the client unless expressly agreed.

11. Confidentiality

Both parties shall keep confidential all non-public information received in connection with the services.

This obligation survives completion, cancellation or termination of the engagement.

11A. Data Protection

Personal data shall be processed in accordance with applicable data protection and privacy legislation in the jurisdictions where NHE operates.

Where required by applicable law, NHE may collect, store and process personal data for the purposes of providing services, managing client relationships, complying with legal obligations and conducting normal business operations.

12. Photography, Video and Marketing Rights

NHE may photograph, film or otherwise document events for quality control, internal documentation and marketing purposes.

NHE may use such materials in its marketing, portfolio, social media channels, presentations and promotional materials unless the client has expressly requested confidentiality or opted out in writing prior to the event.

Where confidentiality has been requested, NHE shall respect such request and shall not publish identifiable client-related material without prior written consent.

NHE shall not identify private individuals by name without their prior written consent.

Nothing in this clause permits disclosure of confidential business information, trade secrets or personal data contrary to applicable law.

13. Confidential Events

Certain events may be designated as confidential by the client.

Where such designation has been agreed in writing, NHE shall not disclose:

  • the identity of the client;
  • guest lists;
  • venue details;
  • event content;
  • event materials; or
  • any related confidential information

without the client’s prior written consent.

This obligation shall survive completion, cancellation or termination of the engagement.

14. Governing Law and Dispute Resolution

The Parties shall seek to resolve any dispute arising out of or in connection with the services through good-faith negotiations before commencing legal proceedings.

For services contracted through:

  • NHE FOODSTUFF SUPPLY SERVICES LLC; or
  • NORDIC HOSPITALITY X EXPERIENCE LLC-FZ

the laws of the United Arab Emirates shall apply and disputes shall be subject to the exclusive jurisdiction of the Dubai Courts.

For services contracted through:

  • Nordic Hospitality x Experience Oy

the laws of Finland shall apply and disputes shall be subject to the exclusive jurisdiction of the Helsinki District Court (Helsingin käräjäoikeus).

For any future NHE entity established in another jurisdiction, the laws and courts of the contracting entity’s jurisdiction shall apply unless otherwise agreed in writing.

15. Independent Legal Entities

Nordic Hospitality x Experience operates through multiple legal entities in different jurisdictions.

Each NHE entity shall be responsible solely for its own contractual obligations, liabilities and invoiced services.

Nothing in these Terms & Conditions shall create joint and several liability between NHE entities.

16. Entire Agreement

These Terms & Conditions form an integral part of all quotations, proposals, bookings, agreements and invoices issued by NHE.

Any amendment or deviation from these Terms & Conditions shall be valid only if agreed in writing.
